On November 29th, the inaugural meeting of the IPO Light Working Party took place at the premises of the law firm CMS Reich-Rohrwig Hainz.
On the initiative of C4, a one-stop shop has been created for smaller stock market/IPO candidates, so called SME’s. C4 Holding has contractually agreed an exclusive cooperation with the leading capital market law firm CMS Reich-Rohrwig Hainz and Conda (actually Austria’s largest crowdinvesting platform).
Based on C4’s experience from more than 25 IPOs, secondaries and convertibles for Austrian medium-sized companies, the so-called IPO Light Working Party has been established. At the very first time, small IPO’s with an issue volume from EUR 20 million to EUR 50 million can be realised very cost-effectively and successfully. Cost-effective, because the current legal possibilities allow the IPO candidate an own-issue of new shares (via capital increase) without a coordinating bank and the working party can implement the transaction at low cost. Successful because Crowdinvesting enables the necessary retail placement, which forms the required free float and thus the prerequisite for placement with institutional investors (e.g. banks, insurance companies, pension funds, large asset managers, etc.). After the crowdinvesting-process on the Conda Capital Market Platform, C4 will accompany issuers at road shows for institutional investors.
As there have been hardly any relevant IPOs of SME’s with a smaller issue volume in Austria in the last two decades, a long list of more than 50 IPO candidates has accumulated. We anticipate a good “Issuing-Window” for the first IPOs in Qu2 2025 due to the ongoing interest rate cuts in the USA and subsequently in Europe.
